+This meeting of the Bridge Foundry Board of Directors was conducted asynchronously via email in accordance with our bylaws' provisions for written consent in lieu of a formal meeting. All members of the board provided written consent.

+Upon motion duly made and seconded, the Board members unanimously approved the following resolutions:
+
+- **RESOLVED**: Bridge Foundry adopts a New Board Member Policy requiring new board members to serve on a committee for at least three months and attend board meetings. The board may shorten this process if a candidate interviews with a majority of board members and has prior volunteer experience with Bridge Foundry.

+- **RESOLVED**: Laura Kirby is added to the board, having served on the governance committee since March 2024 and meeting the criteria in the New Board Member Policy.
